Dayfile terms and conditions.

1) Agreement
These Terms govern use of the Dayfile service (the “Service”) provided by Dayfile Ltd, a company registered in England and Wales under company number 17122272, whose registered office is at The Old Coach House Mynydd Ednyfed, Caernarfon Road, Criccieth, Gwynedd, Wales, LL52 0PH (“Dayfile”, “we”, “us”). By using the Service, you agree to these Terms.
2) The Service
Dayfile provides software that connects to sources you choose (such as Microsoft 365 email, Microsoft Teams and WhatsApp groups), organises project and business correspondence by project, company and topic, and produces summaries, answers to questions and reports from that correspondence, with links back to the original source.
Dayfile does not provide legal, contractual, quantity surveying or other professional advice. Summaries, answers and reports are produced automatically from your correspondence and are an aid to finding and understanding information, not a substitute for reading the original or for professional judgement.
3) Accounts
You must provide accurate information and keep credentials secure. You are responsible for activity under your account. Organisation admins manage user access, including which mailboxes and groups are connected and who can see which folders.
4) Your responsibilities
You agree to: have the right to connect the mailboxes, Teams and WhatsApp groups and other content you connect to Dayfile; inform staff and obtain any permissions required by law or by your own policies; and use the Service lawfully and in line with your contracts.
5) Acceptable use
You must not misuse the Service, interfere with its operation, attempt to access another customer’s data, or process unlawful content.
6) Customer content
You retain ownership of customer content. You grant Dayfile a limited licence to host and process that content solely to provide the Service as configured by you. Customer content is not used to train artificial-intelligence models.
7) Data protection
Data protection obligations, including the terms on which Dayfile acts as processor of personal data on your behalf, are set out in a Data Processing Addendum (“DPA”) incorporated into your order form or available from us on request. Dayfile’s read-only connection to Microsoft 365 cannot send, edit or delete anything, and can be revoked by you at any time from your Microsoft 365 admin centre.
8) Fees and payment
Fees and billing terms are set out in your order form. Prices exclude VAT unless stated. Late payment may result in suspension after notice.
9) Trials and beta features
Free trials and beta features are provided “as is”, may change, and may be withdrawn at any time. A trial does not oblige you to subscribe, and content connected during a trial is treated as customer content under these Terms.
10) Intellectual property
Dayfile retains all intellectual property rights in the Service. You receive a non-exclusive, non-transferable right to use it during the subscription term.
11) Confidentiality
Each party will protect the other’s confidential information and use it only for the purposes of this Agreement.
12) Warranties and disclaimers
We provide the Service with reasonable care and skill. Except as stated, the Service is provided “as is” to the extent permitted by law. The Service works from the correspondence it can see in the sources you connect; where something is not there, the Service will say so rather than fill the gap, and we do not warrant that the record is complete.
13) Limitation of liability
To the maximum extent permitted by law: neither party is liable for indirect or consequential losses; and Dayfile’s total liability under or in connection with this Agreement is capped at the fees paid by you in the 12 months preceding the claim. Nothing excludes liability that cannot be excluded by law.
14) Suspension and termination
We may suspend access for security, legal or material-breach reasons. Either party may terminate for uncured material breach. On termination or expiry, you may export customer content — originals, attachments, dates and sources — for 30 days, after which it will be deleted.
15) Changes
We may update these Terms from time to time. Material changes will be notified.
16) Governing law
These Terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
